Subtext Decoder

These Terms of Use (“Terms”) are a binding agreement between you and Beyond the Subtext, LLC, doing business as Subtext (“Subtext,” “we,” “us,” or “our”), governing your access to and use of Subtext Decoder (“Decoder”). By selecting the acceptance checkbox and using Decoder, you agree to these Terms. If you do not agree, do not use Decoder.
You may use Decoder only if you can form a binding contract where you live. Decoder is intended for professional networking and group experiences and is not directed to children under 13. If you use Decoder on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Decoder is a communication facilitation and networking tool. It presents a result based on patterns in your responses to a short set of questions. Results are informational and experiential only.
Decoder is not a psychological assessment, personality test, medical or mental-health diagnostic tool, professional advice, or employment evaluation. A result is not a definitive or complete description of a person. Communication preferences and behavior may vary by context, situation, culture, role, and relationship.
You may not use Decoder, its questions, responses, results, or related materials to make or substantially assist decisions about hiring, promotion, performance, compensation, discipline, termination, job assignment, credit, housing, insurance, education admission, or another decision that produces legal or similarly significant effects for an individual.
You also may not require another person to disclose a Decoder result or infer that a result establishes ability, character, mental health, fitness, trustworthiness, or job suitability.
Subject to these Terms, Subtext grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Decoder for its intended purpose.
You may not:
You retain any rights you have in information you submit. You grant Subtext a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and analyze your submissions only as reasonably necessary to operate, secure, evaluate, and improve Decoder and to create aggregate or deidentified insights, consistent with the Privacy Policy.
If you voluntarily provide suggestions or product feedback outside the quiz, you allow Subtext to use that feedback without restriction or compensation, provided we do not identify you publicly without permission.
Our Privacy Policy explains how information is handled in connection with Decoder. The Privacy Policy is incorporated by reference for notice purposes but is not intended to limit rights you may have under applicable privacy law.
Decoder, including its software, design, text, questions, scoring framework, archetypes, graphics, trademarks, and other content, is owned by Subtext or its licensors and is protected by intellectual-property laws. Except for the limited license above, these Terms do not transfer any ownership rights to you.
Decoder depends on third-party infrastructure and services, including Google Firebase and Google Cloud-related services. We do not control every aspect of third-party services and are not responsible for outages or acts of third parties beyond our reasonable control. Your use of third-party services may also be subject to their applicable terms and policies.
We may modify, suspend, or discontinue any part of Decoder, including questions, scoring, archetypes, or features, at any time. We do not promise that Decoder will always be available, uninterrupted, secure, or error-free. We may restrict or terminate access if we reasonably believe these Terms have been violated or access creates risk to Decoder or others.
TO THE FULLEST EXTENT PERMITTED BY LAW, DECODER IS PROVIDED “AS IS” AND “AS AVAILABLE.” SUBTEXT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT ANY RESULT IS ACCURATE, COMPLETE, RELIABLE, VALIDATED FOR A PARTICULAR PURPOSE, OR SUITABLE FOR MAKING DECISIONS ABOUT ANY PERSON.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, SUBTEXT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO DECODER OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SUBTEXT AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO DECODER OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SUBTEXT TO USE DECODER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
These limitations do not apply where prohibited by law and do not limit liability that cannot lawfully be excluded or limited.
To the extent permitted by law, if you use Decoder on behalf of an organization, that organization will defend, indemnify, and hold harmless Subtext and its officers, directors, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from the organization’s prohibited consequential use of Decoder, unlawful use, or material violation of these Terms. This section does not require an individual participant using Decoder for its intended personal networking purpose to indemnify Subtext.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or Decoder must be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to their personal jurisdiction and venue. This section does not deprive consumers of mandatory protections or forums available under applicable law.
These Terms and the documents they expressly reference are the entire agreement between you and Subtext regarding Decoder. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Section headings are for convenience only.
We may update these Terms from time to time. We will post the updated Terms with a revised effective date. If required by law, we will provide additional notice or obtain renewed agreement before material changes apply. Your continued use after revised Terms take effect constitutes acceptance only where permitted by law.
